How to Close an LLP (Strike-Off Process)
An LLP that has stopped operating can apply to be struck off the Register through Form 24, rather than continuing to accumulate annual compliance obligations.

Step
Confirm eligibility
The LLP must have been inactive — not carrying on any business — for at least one year, must have closed all its bank accounts, and must have no outstanding creditors.

Step
Clear pending compliance
Any overdue Form 8 or Form 11 filings are worth clearing up first — unresolved compliance gaps can delay or complicate the strike-off application.

Step
Pass a partners’ resolution
The partners formally resolve to close the LLP and apply for strike-off.

Step
Prepare the supporting documents
This includes an indemnity bond signed by all partners, an affidavit, and a NIL statement of accounts certified by a practising Chartered Accountant, dated within 30 days of filing.

Step
File Form 24
The application, with all supporting documents, is filed with the Registrar of Companies.

Step
Registrar review and strike-off
The Registrar reviews the application and, if satisfied, strikes the LLP’s name off the Register — at which point it ceases to exist as a legal entity.
